本公司於民國113年4月19日董事常會核准於民國113年股東常會中改選五名董事及四名獨立董事。
The company's Board of Directors approved, during the regular board meeting on April 19, 2024, to elect five directors and four independent directors at the annual shareholders' meeting in 2024.
依崴寶公司章程,本公司董事選舉採公司法第192條之1之候選人提名制度。持有本公司已發行股份總數百分之一以上股份之股東,得以書面向本公司提出候選人名單,提名期間為113年4月26日起至5月6日止。除董事會提名之五位董事及四位獨立董事候選人外,於上述提名期間,本公司並未接獲持有本公司已發行股份總數百分之一以上股份之股東以書面向本公司提出其它候選人名單。
In accordance with the Articles of Association of W&B Technology Ltd., the election of directors follows the candidate nomination system under Article 192-1 of the Company Act. Shareholders who hold more than 1% of the total issued shares of the company are entitled to submit a list of candidates in writing to the company. The nomination period was from April 26 to May 6, 2024. Apart from the five director candidates and four independent director candidates nominated by the Board of Directors, the company did not receive any other candidate nominations in writing from shareholders holding more than 1% of the company's issued shares during the aforementioned nomination period.

目前本公司女性董事席次尚未達董事會全體成員的三分之一,主因現任董事會成員多為連任或具豐富經驗的專業人士,性別結構尚需時間逐步調整。本公司將持續關注董事會組成的多元性,於下一屆董事會改選時,將會優先考量具備專業能力且符合多元化原則的女性候選人,將女性董事提升至席次三分之一,以符合董事會多元化政策之落實,並鼓勵女性員工擔任高階管理職位,建立董事候選人庫,以提升女性進入董事會的機會。Currently, the company has not yet met the target of having female directors account for one-third of the total board seats. The main reason is that most current board members are either re-elected or are highly experienced professionals, making the adjustment of the gender structure a gradual process. The company will continue to focus on board diversity and, in the next board election, will prioritize female candidates who possess professional expertise and align with the diversification principles. The goal is to increase the proportion of female directors to one-third, ensuring the effective implementation of the board diversity policy. Additionally, the company will encourage female employees to take on senior management positions and establish a pool of potential female board candidates to enhance opportunities for women to enter the board.

◆董事會獨立性Board Independence
本公司董事會由九席董事組成,包含獨立董事四席(44%),非獨立董事五席(55%)。獨立董事之選任及資格係遵循「公開發行公司獨立董事設置及應遵循事項辦法」之規定,各董事間未具有證券交易法第 26 條之 3 第三項及第四項規定之情事、及無具有配偶及二親等以內親屬關係之情形。
本公司董事會致力持續評估董事的獨立性,當中會考慮所有相關因素,其中包括:相關董事能否持續為管理層及其他董事提出具建設性的問題、表達的觀點是否獨立於管理層或其他董事,以及在董事會內外的言行舉止是否適當。本公司獨立董事的行為,在適當的情況下均能符合期望,展現以上特質。
經考慮本部分載述的所有情況後,本公司認為所有獨立董事均為獨立於本公司的人士。
Our company's Board of Directors consists of nine members, including four independent directors (44.4%) and five non-independent directors (55.6%). The selection and qualifications of independent directors comply with the "Regulations Governing Appointment of Independent Directors and Compliance Matters for Public Companies." None of the directors have any circumstances outlined in Article 26-3, Paragraphs 3 and 4 of the Securities and Exchange Act, nor do they have spousal or second-degree kinship relationships with one another.
The Board is committed to continuously evaluating the independence of its directors by considering all relevant factors, including whether the directors can consistently challenge management and other board members constructively, whether their views remain independent of management and other directors, and whether their conduct within and outside the board is appropriate. Our independent directors have demonstrated these qualities where applicable and have met all expectations.
After considering all relevant factors outlined above, the company affirms that all independent directors are truly independent of the company.

內部稽核組織及運作 Internal Audit Organization and Operations
本公司稽核室直接隸屬董事會,稽核人員皆為專任人員,含稽核主管1人,經董事會決議同意通過任免。
The company's audit department is directly under the Board of Directors, and all audit personnel are full-time employees, including one audit supervisor, whose appointment and dismissal are approved by the Board of Directors.
稽核對象包含本公司及子公司,稽核範圍涵蓋所有財務、業務等營運及管理功能。
The audit scope includes both the company and its subsidiaries, covering all financial, business, operational, and management functions.
稽核方式主要為依年度稽核計畫執行之例行稽核,另視需要執行專案稽核,以適時發現內部控制制度可能缺失、提出改善建議。
The audit method mainly consists of routine audits based on the annual audit plan. Additionally, project-specific audits may be carried out as needed to promptly identify potential deficiencies in the internal control system and propose improvement suggestions.
稽核完成後,出具稽核報告提報董事長,並由稽核主管定期於董事會中報告執行狀況及結果,以落實公司治理之精神。
Upon completion of the audit, an audit report is submitted to the Chairman of the Board. The audit supervisor regularly reports the execution status and results to the Board of Directors to implement the spirit of corporate governance.
督促本公司各單位及各子公司執行自行評估,建立公司自我監督機制,自行評估結果並做為建議本公司董事會及總經理出具內部控制制度聲明書之依據。
The company urges each department and subsidiary to conduct self-assessments and establish a self-monitoring mechanism. The results of these self-assessments serve as the basis for the company's Board of Directors and General Manager to issue an internal control system declaration.

本公司配置適任及適當之公司治理人員,負責公司治理相關事務,並經113年12月13日董事會通過指派財務部劉欣宜經理兼任公司治理主管。
The company has appointed qualified and appropriate personnel to be responsible for corporate governance matters, and on December 13, 2024, the Board of Directors approved the appointment of Manager Silvia Liu from the Finance Department to concurrently serve as the Corporate Governance Officer.

禁止內線交易規範及執行情形

依據本公司「內部重大資訊處理暨防範內線交易管理作業」,內線交易規範對象於獲悉本公司有重大影響其股票價格之消息時,在該消息未公開或公開後十八小時內,不得對本公司之上市或在證券商營業處所買賣之股票或其他具有股權性質之有價證券自行或以他人名義買入或賣出,違反該規定者,即構成內線交易。
In accordance with our “Procedures for Handling Material Internal Information and Preventing Insider Trading,” any individual subject to insider trading restrictions is strictly prohibited from trading the Company’s listed shares or other equity-related securities—whether in their own name or through another party—upon acquiring knowledge of any material information that could significantly impact the Company’s stock price. This restriction applies until such information has been publicly disclosed and for a period of eighteen (18) hours thereafter. Any violation of this policy constitutes insider trading.

重大影響本公司股票價格之消息範圍包括:
1. 涉及本公司之財務、業務,對本公司股票價格有重大影響,或對正當投資人之投資決定有重要影響之消息
2 . 涉及該證券之市場供求、公開收購,對本公司股票價格有重大影響或對正當投資人之投資決策有重要影響之消息。

Scope of Material Information That May Affect the Company’s Stock Price
Material information that may significantly affect the Company’s stock price includes, but is not limited to, the following:
1.Information related to the Company’s financials or business operations that may have a significant impact on the Company’s stock price or may materially influence the investment decisions of reasonable investors.
2.Information related to market supply and demand of the securities, or tender offers, that may have a significant impact on the Company’s stock price or may materially influence the investment decisions of reasonable investors.

本公司內部人於獲悉 公司財務報告或相關業績內容 之日起 之股票交易控管措施,包括 但不限於董事不得於年度財務報告公告前三十日 ,和每季 財務 報告公告前十五日之封閉期間交易其股票。

To ensure fair disclosure and prevent insider trading, the Company has implemented stock trading control measures for insiders upon gaining knowledge of the Company’s financial reports or related performance results. These measures include, but are not limited to, restrictions whereby directors are prohibited from trading the Company’s shares during blackout periods—specifically, within 30 days prior to the announcement of the annual financial report and 15 days prior to the announcement of each quarterly financial report.

具體落實情形:
●本公司每年至少一次對現任董事、經理人及受僱人辦理「防範內線交易管理辦法」、「內部重大資訊處理作業程序」及相關法令之教育宣導,對新任董事及經理人則於上任後 3 個月內安排教育課程或宣導,對新任受僱人則於到職時予以教育宣導。
●本公司 114 年度已於5月22日對現任董事計9人次進行3小時教育宣導。
●課程內容包括:內線交易形成原因、認定過程、交易實例說明及防制措施,以及內部重大資訊範圍、保密作業、公開作業與違規處理。
●課程結束後並將簡報提供與董事、經理人及受雇人,提供給當日未出席者參考。
●本公司於每年宣導禁止內線交易之課程中提醒董事不得於年度財務報告公告前三十日,和每季財務報告公告前十五日之封閉期間交易其股票。本公司於 114 年4月1日及114年7月1日以 E-mail 方式進行宣導。

Implementation of Insider Trading Prevention Measures
● The Company conducts at least one annual training session for current directors, managerial officers, and employees on the “Insider Trading Prevention Policy,” “Procedures for Handling Material Internal Information,” and relevant laws and regulations. For newly appointed directors and managerial officers, training or briefing sessions are arranged within three months of assuming their roles. For new employees, training is provided upon onboarding.
● In 2025 (Year 114 of the ROC calendar), the Company conducted a 3-hour training session on May 22 for current directors, with a total of 9 director participations.
● The training content included: causes and identification of insider trading, case studies and preventive measures, scope of material internal information, confidentiality procedures, public disclosure processes, and handling of violations.
● After the session, the presentation materials were distributed to all directors, managerial officers, and employees, including those who were unable to attend.
● During the annual training on insider trading prohibition, the Company reminds directors that they are prohibited from trading Company shares during blackout periods—specifically, within 30 days before the announcement of the annual financial report, and 15 days before the announcement of each quarterly financial report. In 2025, this reminder was issued via email on April 1 and July 1.
